1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of the Boonofy website (boonofy.com) and any engagement of Boonofy Services (“Boonofy,” “we,” “us,” or “our”) for web design and development, software design and development, app development, and digital marketing services. By accessing our website, submitting an inquiry, or entering into a service agreement with us, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or engage our services.2. Description of Services
Boonofy provides the following categories of services, the specific scope of which is defined separately for each engagement:- Web design and development
- Software design and development
- Mobile application development
- Digital marketing (including SEO, paid advertising, content marketing, and related services)
3. Engagement, Scope & Pricing
Written scope required. No project work begins until a written scope of work, including deliverables, timeline, and price, has been agreed upon in writing by both parties. Fixed-price engagements. Where a fixed price is quoted, that price applies only to the scope explicitly described in the written scope document. Any request for work outside that scope will be treated as a change request, subject to a separate written addendum specifying additional cost and/or timeline impact before such work begins. Estimates. Any price ranges or estimates shown on our website (including interactive pricing tools) are illustrative starting points only and do not constitute a binding quote. A binding quote is issued only in writing following a scope discussion specific to your project.4. Payment Terms
Payment terms (including deposit requirements, milestone payments, and accepted payment methods and currencies) will be specified in the individual service agreement or invoice for each engagement.- Invoices are issued in accordance with applicable Indian GST regulations, including Letter of Undertaking (LUT) provisions for export of services where applicable.
- Late payments may result in a pause of ongoing work until outstanding amounts are settled, at our discretion.
- All fees are exclusive of applicable taxes unless otherwise stated.
5. Client Responsibilities
To deliver services on schedule, we rely on the Client to:- Provide timely feedback, approvals, and requested materials (content, credentials, brand assets, etc.)
- Designate a single point of contact authorized to approve scope, deadlines, and deliverables
- Ensure that any content, materials, or instructions provided to us do not infringe the rights of any third party
6. Intellectual Property
Client ownership upon payment. Unless otherwise agreed in writing, all custom deliverables created specifically for the Client under a paid engagement (including final designs, code written specifically for the project, and content created for the project) transfer to the Client upon full payment for the applicable milestone or project. Pre-existing and third-party materials. This does not include: (a) Boonofy’s pre-existing tools, frameworks, or proprietary methodologies used in delivering the work, which remain our property; or (b) third-party assets (stock photography, licensed fonts, open-source libraries, plugins, etc.), which remain subject to their original license terms. Portfolio use. Unless the Client requests otherwise in writing (including under an NDA), Boonofy may reference completed projects in its portfolio, case studies, and marketing materials.7. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement. Where deeper confidentiality is required, a mutual Non-Disclosure Agreement (NDA) will be signed prior to the disclosure of sensitive information, using either the Client’s or Boonofy’s standard NDA template.8. Warranties & Disclaimers
Boonofy will perform services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in a written service agreement, services are provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, including but not limited to search engine rankings, traffic levels, conversion rates, revenue, or app store approval, as these depend in part on factors outside our control.9. Limitation of Liability
To the maximum extent permitted by applicable law, Boonofy’s total liability arising out of or related to any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall Boonofy be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.10. Termination
Either party may terminate an ongoing engagement in accordance with the notice period specified in the applicable service agreement. Upon termination, the Client is responsible for payment for all work completed up to the effective date of termination. For monthly retainer engagements, no long-term lock-in applies; termination follows the notice terms specified in the retainer agreement.11. Governing Law & Jurisdiction
These Terms, and any service agreement entered into with Boonofy, shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India, unless otherwise agreed in writing for a specific engagement.12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.13. Contact Us
